Terms of Service

Effective date: Not yet effectiveLast updated: September 25, 2026Version: draft-2026-09-25
Draft for legal and business review. These terms are not yet effective, and the current product does not generate service-ready legal notices.

1. Who we are and what this agreement covers

These Terms of Service ("Terms") are a binding agreement between you ("Customer," "you") and the operator of RecoupUnit ("RecoupUnit," "we," "us"). They govern your access to and use of the RecoupUnit website and web application (the "Service"). By creating an account or using the Service after these Terms become effective, you agree to them. If you are accepting for a business, you confirm you have authority to bind it.

2. The Service

RecoupUnit is a web application intended to help self-storage operators prepare notices related to Texas Property Code Chapter 59. You create an account, open a case for each delinquent unit, and enter case details such as tenant name, unit number, amount owed, and late fees. The planned Service uses templates to generate documents, including a Notice of Claim, Notice of Sale, and Excess Proceeds Notice, and keeps a timestamped record of case steps.

You send the notices yourself. The Service generates documents. It does not mail, deliver, or serve them, and it does not conduct or advertise any sale.

3. Not legal advice

RecoupUnit is a software tool, not a law firm. Nothing in the Service, our templates, our website, or our communications is legal advice, and using the Service does not create an attorney-client relationship. Lien law is fact-specific and changes over time. You are responsible for confirming that your use of the notices complies with the law and your rental agreements, and you should consult a licensed Texas attorney about your specific situation.

4. Templates and their limits

Our templates are drafted from the text of Texas Property Code Chapter 59. As of the date of this draft, the templates have not been reviewed or approved by a licensed attorney. We do not guarantee that any template is complete, current, or suitable for your facility or case, or that a notice generated by the Service will satisfy legal requirements in any particular situation. We may update templates, but we have no duty to notify you of changes in law.

5. Your responsibilities

You are solely responsible for:

6. Accounts

You must provide accurate registration information and keep it current. You are responsible for all activity under your account and for keeping your login credentials secure. Notify us promptly through the contact information in Section 17 if you suspect unauthorized use. The Service is intended for business use by self-storage operators and their authorized staff, and you must be at least 18 to use it.

7. Fees, billing, and cancellation

The following are planned commercial terms and do not apply to the unpaid product preview:

8. Your data

Ownership

You own the data you enter into the Service ("Customer Data"), including tenant and case information. You grant us a limited license to host, process, and display Customer Data solely to operate, secure, and support the Service and as described in our Privacy Policy.

Tenant information

You confirm you have the right to enter tenant information into the Service and to have us process it on your behalf. We use it only to provide the Service to you and do not sell it.

Access after cancellation

The export period and deletion schedule after a subscription ends will be confirmed before paid launch. We may retain information where required by law.

Your own records

Keep your own copies of notices, mailing receipts, and case documents. Do not treat the Service as your only record.

9. Case timeline records

The Service may record a timestamp when a notice is generated. This shows when a step was completed in the Service. It is not proof that a notice was mailed, delivered, or received by a tenant, and we make no representation that any record will be accepted as evidence in a proceeding.

10. Intellectual property

We and our licensors own the Service, including its software, design, and templates. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service and notices you generate for your own facility operations. You may not copy, resell, sublicense, or distribute the templates or Service to others, reverse engineer the Service, or use it to build a competing product. You keep ownership of completed notices and Customer Data.

11. Acceptable use

You will not use the Service unlawfully or to harass, deceive, or wrongfully pursue tenants; enter data you have no right to use; interfere with or disrupt the Service or its security; access it by automated means without permission; or share your account with people outside your business.

12. Disclaimers

THE SERVICE AND TEMPLATES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT USING IT WILL RESULT IN A VALID LIEN, LAWFUL SALE, OR ANY PARTICULAR LEGAL OUTCOME.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, INCLUDING CLAIMS BY TENANTS OR THIRD PARTIES ARISING FROM ANY LIEN, NOTICE, OR SALE; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

14. Indemnification

You will defend and indemnify RecoupUnit against claims, losses, and expenses, including reasonable attorneys' fees, arising from your Customer Data, your use of the Service, your notices, liens, or sales, or your breach of these Terms or the law.

15. Term, termination, and governing law

Termination

These Terms apply while you use the Service. You may stop at any time by canceling. We may suspend or terminate access for breach, non-payment, or misuse, or if we discontinue the Service, with reasonable notice where practical. Sections that by their nature should survive termination will survive.

Governing law and venue

These Terms are intended to be governed by Texas law, without regard to conflict-of-law rules. The exclusive venue and any dispute-resolution process remain to be confirmed before these Terms become effective.

16. Changes and general terms

We may update these Terms. The notice period for material changes will be confirmed before launch. These Terms and the Privacy Policy are the entire agreement between us on this subject. If any provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Failure to enforce a provision is not a waiver.
